Welcome to https://suhanz.com/ (the “Platform”), owned and operated by Suhanz (“we,” “us,” “our”). Suhanz is an online listing and inquiry platform for adult companionship in Mumbai. We are not an employer, agent, or manager of the listed individuals, and we do not offer, solicit, or arrange sexual services. Profiles and information are provided for discovery and communication purposes only; any offline interaction is a private arrangement between consenting adults.

Please read these Terms of Use (“Terms”) carefully. They govern your access to and use of the Platform and any content made available through it (including text, data, images, audio, video, and software) as well as any features or services provided via the Platform. By accessing or using the Platform, you agree that you have given free, specific, informed, unconditional, and unambiguous consent to these Terms and are entering into a legally binding agreement with Suhanz for the purposes stated herein. If you do not agree to these Terms or cannot be bound by them, do not access or use the Platform. As a condition of access, you agree to comply with all applicable laws and regulations when using the Platform.

We may, at our sole discretion, change, modify, add, or remove portions of these Terms at any time. You are responsible for reviewing the Terms periodically. Your continued use after we post updates constitutes acceptance of the revised Terms. Subject to your compliance with these Terms, Suhanz grants you a personal, revocable, non-exclusive, non-transferable, non-sub-licensable, limited license to access and use the Platform.

You should read these Terms along with all linked policies referenced here, including our Privacy Policy, which are incorporated by reference and form part of these Terms.

If you are unwilling or unable to be legally bound by these Terms, please do not give consent or use the Platform. You cannot accept these Terms if: (a) you are not lawfully entitled to use adult-oriented services under applicable law; or (b) you are under 18 years of age (or any higher age required by local law to view adult content).

TERMS OF USE FOR USERS

In these Terms, unless the context otherwise requires: (a) all capitalised words and expressions defined by inclusion in quotation and/or parenthesis anywhere in these Terms have the same meanings as ascribed to them; and (b) the following words and expressions shall bear the meanings ascribed to them below:

• “User” means any individual who visits and/or uses the Platform.
• “Client” means any User who submits an Inquiry or Booking Request through the Platform or registers an account as a client.
• “Inquiry” means a contact, availability, or pricing request initiated by a Client to a Companion via the Platform tools (forms, chat links, call/WhatsApp buttons).
• “Listing” means an informational profile page for a Companion or agency published on the Platform, including photos, attributes, rates (if shown), and availability, as provided by the listing owner.
• “Companion” means an independently operating adult service provider or agency representative whose Listing appears on the Platform. Companions are not employees, agents, or partners of Suhanz.
• “Content” means all text, images, videos, graphics, reviews, and other materials made available on or submitted to the Platform, including User-Generated Content.
• “User-Generated Content (UGC)” means any Content submitted, posted, uploaded, or otherwise provided by a User (e.g., reviews, messages, images).
• “Promoted Placement” means paid advertising features purchased by a Companion/agency (e.g., featured, VIP, or priority positions) affecting Listing visibility without implying endorsement or guarantee.
• “Fees” means charges, if any, payable to Suhanz for platform services such as Promoted Placement; Fees do not include any amounts arranged directly between Clients and Companions.

1. USER ELIGIBILITY

• Use of the Platform is available only to natural persons who can enter into legally binding contracts under the Indian Contract Act, 1872. Persons who are “incompetent to contract” within the meaning of the Act including minors, un-discharged insolvents, and persons of unsound mind are not eligible to use the Platform.
• You must be at least 18 (eighteen) years of age (or any higher age required by local law to view adult content) to register, submit inquiries, or otherwise use the Platform. Any person under the applicable minimum age accessing or using the Platform in violation of these Terms does so at their own risk, and Suhanz shall not be responsible or liable for any activities or interactions of such person on or through the Platform.
• Suhanz reserves the right to terminate, suspend, or refuse access to any User account if it is brought to our notice, or if we discover independently, that such person is not eligible to use the Platform.

2. ACCEPTANCE OF TERMS

To use the Platform, you must first agree to these Terms. You can accept these Terms by:

• Creating or logging into a Suhanz account using your email/phone/OTP;
• Submitting an Inquiry or Booking Request, or contacting a Companion via our forms, call, or WhatsApp links;
• Accessing, browsing, or using any feature of the Platform;
• Publishing/managing a Listing or purchasing Promoted Placement (for companions/agencies).

By performing any of the above, you provide free, specific, informed, and unambiguous consent and enter a legally binding agreement with Suhanz. Your continued use after we post updates will be treated as your ongoing acceptance of the revised Terms. If you do not agree, please do not use the Platform.

3. OPENING AN ACCOUNT AND SIGN IN/LOG IN

You may create a Suhanz account (“Account”) by providing a valid email or mobile number and verifying it via OTP. Browsing listings and submitting basic inquiries may be possible without an Account; however, certain features (saving favorites, writing reviews, managing listings, purchasing Promoted Placement) may require you to sign up. If you proceed with a feature that needs an Account, we may auto-create one using the email/phone you provide and send you access credentials.

While accessing or using the Platform, you shall not:

• Create an Account for anyone other than yourself without their prior consent; or
• Use a name, email, or phone that impersonates another person or entity.

Suhanz cannot and will not be liable for any loss or damage arising from your failure to maintain the confidentiality of your login credentials or device security.

You confirm that all information you provide is true, accurate, current, and complete. If any information is or becomes untrue, inaccurate, outdated, or incomplete, Suhanz may suspend, terminate, or block your Account and/or refuse access to the Platform.

You can log in using your registered email/phone + OTP. Your dashboard (where applicable) may display your inquiry history, saved profiles, ad purchases, and other activity linked to your Account.

4. ACCOUNT CONFIDENTIALITY OBLIGATIONS

• You agree that maintaining the security and confidentiality of your Account (including email/phone, OTPs, and any credentials) is solely your responsibility. Do not share these details with any third party or permit unauthorized access to your device.
• Suhanz reserves the right to take any and all actions it deems necessary or reasonable to protect the Platform and Accounts, including monitoring for abuse, forced logouts, temporary holds, and suspension or termination.
• You are solely responsible for all activities that occur under your Account and for ensuring that no activity violates applicable laws, rules, or regulations of India, or these Terms.
• Under no circumstances shall Suhanz be liable for any loss or damage arising from (i) your use or misuse of the Platform or Account, (ii) theft, leakage, or disclosure of your Account details, or (iii) your authorization (intentional or negligent) allowing another person to access or use the Platform through your Account.
• If you suspect misappropriation, compromise, or unauthorized access, you must notify Suhanz immediately via the contact method indicated on the Platform and promptly follow any security steps we prescribe (e.g., re-verification, device checks). You may be held liable for losses incurred by Suhanz or other users resulting from authorized or unauthorized use traceable to your failure to keep your Account secure.

5. LISTINGS AND SERVICES

• Users may need to register and/or comply with these Terms to access features on the Platform, including browsing Listings, submitting Inquiries/Booking Requests, posting reviews/UGC, and purchasing Promoted Placement (for companions/agencies) (collectively, “Services”).
• Suhanz endeavours to keep Listing information accurate; however, we do not warrant that descriptions, rates, availability, attributes, photos, or other content are accurate, complete, current, or error-free. Screens and devices render images differently; photos and displayed details are illustrative and may vary.
• Users should carefully read each Listing (boundaries, etiquette, rates, meeting preferences) and exercise independent judgment. Compatibility, comfort, and expectations vary by individual. If you feel unsafe or uncomfortable at any point, end the interaction immediately and prioritise your safety.
• All meetings are off-platform, between consenting adults. Suhanz is not liable for outcomes of offline interactions, including misunderstandings, dissatisfaction, health/safety concerns, or failure to follow mutually agreed boundaries or general hygiene and etiquette.
• Suhanz may modify, suspend, or discontinue some or all Services or features (including support for certain devices or tools) at any time, with or without notice.

6. USE OF THE PLATFORM

You agree not to host, display, upload, modify, publish, transmit, store, update, or share any information on Suhanz that:

• You don’t have rights to (belongs to someone else or violates their privacy/IP).
• Is harmful, harassing, defamatory, obscene, pornographic, pedophilic, invasive of privacy, hateful, discriminatory, encourages illegal acts, or is otherwise contrary to applicable Indian laws.
• Is misleading, patently false, or deceptive, including impersonation or spoofing origins of messages.
• Harms minors or attempts to engage minors.
• Constitutes spam, chain letters, unsolicited mass messaging, or scams.
• Provides instructions for illegal activities or security breaches.
• Attempts unauthorized access (accounts, data, areas of the Platform), solicits passwords/PII, or exceeds authorized scope.
• Engages in commercial promotions/ads/contests without Suhanz’s prior written consent (companions/agencies may use approved Suhanz ad features only).
• Threatens India’s unity, integrity, defense, security, or public order, incites offence, or insults foreign states.
• Contains malware/viruses/trojans/worms or code that disrupts or steals data/systems.
• Violates any applicable law or these Terms.

Service availability. Services may be interrupted for maintenance, repairs, upgrades, or due to network/equipment failures. While we strive for uptime, occasional disruptions may occur and Suhanz is not liable for related losses.

Lawful, personal use. You will not use the Platform for any illegal or unauthorized purpose. Clients must use information on the Platform at their own risk and only for personal use (no scraping, resale, or commercial exploitation). Companions/agencies may use the Platform solely to manage their own listings and approved promotions.

Monitoring. Suhanz may (but is not obligated to) monitor access/use to ensure compliance with these Terms and applicable laws and may remove content, suspend, or restrict access at its sole discretion.

7. USER’S POSTS AND REVIEWS

The Platform may allow you to post User Content (reviews, ratings, comments, photos, videos, questions, suggestions, messages).

• Your responsibility. You are the originator of your User Content and are solely responsible for it. You must own the rights (or have permission) to everything you post and ensure it complies with applicable law and these Terms. Suhanz does not endorse User Content and may remove/disable any content at its discretion.
• Third-party consent. If another person appears in your content (face, voice, name, contact details, etc.), you confirm you have their prior consent. You agree to indemnify Suhanz against claims arising from such content.
• License to Suhanz. You grant Suhanz a perpetual, irrevocable, worldwide, royalty-free, sub-licensable license to use, host, copy, adapt, publish, display, distribute, and create derivative works from your User Content across our site, apps, and official social channels.
• Prohibited content. Do not post content that is offensive, defamatory, harassing, hateful or discriminatory; obscene or pornographic; or that constitutes an “indecent representation of women” under the Indecent Representation of Women (Prohibition) Act, 1986. No doxing, nudity without consent, private information, IP infringement, or illegal/unsafe content.
• Reviews etiquette. Keep reviews truthful, based on your own experience, and avoid personal attacks, explicit details, or boundary-violating descriptions. Suhanz may moderate, edit, or refuse reviews that violate these rules.

8. PAYMENT FACILITY

Client–Companion Payments. Suhanz does not collect or hold any payments for meetings between Clients and Companions. Any fee, advance, or tip is arranged directly and off-platform between the parties at their discretion.

Platform Payments (for companions/agencies). For Suhanz services like Promoted Placement or other paid features, we may accept online payments (cards, UPI, net banking, wallets, or any method we enable). Cash on Delivery is not available. All platform payments must be in Indian Rupees (INR).

No Liability for Gateway Issues. While using any payment method for Suhanz-paid features, Suhanz is not responsible for losses arising from:

• lack of authorisation,
• bank or issuer limits,
• gateway/processing errors, or
• any rejection, delay, or failure of transactions for any reason.

KYC/Verification. We may request ID/address proof (Govt. of India issued) or additional documents before activating promotions or processing certain payments, to ensure a safe and compliant environment.

Delays/Failures. Suhanz will not be liable for any damages, interest, claims, or losses due to non-processing or delayed processing of any transaction beyond our reasonable control.

9. CANCELLATION & REFUNDS (NO SHIPPING)

• Suhanz does not sell or ship physical products. Therefore, there is no shipping or return process on the Platform.
• Client–Companion bookings. Cancellations, reschedules, and any refunds (if offered) are handled directly between the Client and the Companion off-platform. Suhanz is not a party to these arrangements and does not mediate or refund such amounts.
• Platform purchases (for companions/agencies). Fees paid to Suhanz for Promoted Placement or other paid features are non-refundable once delivered/activated, unless required by law or expressly stated otherwise. If a paid feature fails due to a Suhanz error, we may credit or re-run the service at our discretion. Payment disputes are processed via the respective payment gateway/bank.

10. AGREEMENT TO RECEIVE COMMUNICATION

By accepting these Terms, you consent to receive communications from Suhanz via SMS, WhatsApp (where applicable), email, phone calls, in-app/website notifications, and social media DMs, including:

• Account and security alerts, OTPs, and activity updates;
• Inquiry/booking confirmations and follow-ups;
• Service announcements, policy updates, and customer support;
• Promotional/marketing messages about Suhanz features, offers, and partner services.

You can opt out of marketing at any time (e.g., click Unsubscribe in emails, reply STOP to SMS/WhatsApp, or adjust preferences in your account). Transactional and safety-related messages may still be sent as necessary. We comply with applicable Indian laws and DND/consent norms for electronic communications.

11. LINKS TO THIRD PARTY WEBSITES

• The Platform may contain links or interactive features that connect to third-party sites and services (e.g., payment gateways, messaging apps, ID/KYC tools, social media, map services). Suhanz is not responsible for the actions, content, terms, privacy practices, settings, security, or availability of any third-party website or service.
• Before visiting, signing in, sharing information, or enabling any integration with a third-party site, you should review and understand that site’s Terms & Conditions, Privacy Policy, permissions, and information-sharing settings. Your use of any third-party site is at your own risk, and any issues or disputes are between you and the third party.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Suhanz shall not be liable to any User for special, consequential, incidental, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunity.

Without limiting the foregoing, Suhanz shall not be liable for damages arising out of or related to:

• (a) any errors, mistakes, or inaccuracies in Listings, reviews, or other content;
• (b) any unauthorised access to or use of our servers and/or personal information stored on them;
• (c) any interruption, outage, or cessation of transmission or failure of the Services to remain operational;
• (d) any malware, viruses, trojan horses, or harmful code transmitted by a third party;
• (e) any loss of your data from use of (or inability to use) any part of the Platform;
• (f) your failure to keep Account credentials secure and confidential;
• (g) non-availability of the Services in certain locations or jurisdictions;
• (h) any errors or omissions in content/UGC, or any loss or damage incurred from content posted, emailed, transmitted, or otherwise made available via the Platform; and
• (i) any offline interactions between Clients and Companions, which are private arrangements between consenting adults and not facilitated, managed, or controlled by Suhanz.

IT IS EXPRESSLY CLARIFIED that Suhanz’s aggregate liability, if any, as finally determined by a court of competent jurisdiction, shall in no event exceed the amount actually paid by the User to Suhanz for the specific paid Platform service (e.g., Promoted Placement) under which such liability arose. If no such payment was made to Suhanz, our liability shall be nil.

13. DISCLAIMER OF WARRANTIES

• NO MEDICAL/LEGAL ADVICE; SAFETY. SUHANZ IS AN ONLINE LISTING & INQUIRY PLATFORM FOR ADULT COMPANIONSHIP. WE DO NOT EMPLOY, MANAGE, OR CONTROL COMPANIONS AND WE DO NOT OFFER, SOLICIT, OR ARRANGE SEXUAL SERVICES. ANY HEALTH, SAFETY, ETIQUETTE, OR “SAFE PRACTICE” INFORMATION ON THE PLATFORM IS GENERAL AND NOT MEDICAL OR LEGAL ADVICE. USERS SHOULD SEEK PROFESSIONAL ADVICE FOR THEIR SPECIFIC SITUATIONS. SUHANZ IS NOT RESPONSIBLE FOR YOUR CHOICES OR OFFLINE INTERACTIONS. ALL MEETINGS ARE PRIVATE ARRANGEMENTS BETWEEN CONSENTING ADULTS YOUR SAFETY, CONSENT, AND BOUNDARIES ARE YOUR RESPONSIBILITY.
• AS-IS / AS-AVAILABLE. THE PLATFORM, LISTINGS, PHOTOS, DESCRIPTIONS, RATES, AVAILABILITY, REVIEWS, MESSAGES, AND ALL OTHER MATERIALS OR FEATURES (COLLECTIVELY, “CONTENTS”) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. SUHANZ DOES NOT WARRANT (i) THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF ANY CONTENT; (ii) IDENTITY, CONDUCT, SUITABILITY, OR AVAILABILITY OF ANY USER/COMPANION; (iii) UNINTERRUPTED OR ERROR-FREE OPERATION; OR (iv) ABSENCE OF MALWARE/DEFECTS. USE OF THE PLATFORM IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, SUHANZ DISCLAIMS ALL WARRANTIES, INCLUDING TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUHANZ IS NOT LIABLE FOR DEVICE DAMAGE, DATA LOSS, OR ANY LOSS/INJURY ARISING FROM USE OF (OR RELIANCE ON) THE PLATFORM OR ITS CONTENTS, EXCEPT AS REQUIRED BY LAW OR EXPRESSLY STATED IN WRITING.

14. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Suhanz, its affiliates, directors, officers, employees, and agents from and against any and all claims, demands, actions, damages, liabilities, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• your breach of these Terms, our Privacy Policy, or any other policy referenced here;
• your violation of law or third-party rights (including intellectual property, privacy, publicity, or contractual rights);
• your User Content/Reviews (including defamation, IP infringement, lack of consent, or unlawful/obscene material);
• any misrepresentation, fraud, or misuse of the Platform, accounts, or data;
• your failure to secure your account/credentials or devices leading to unauthorized access or harm;
• any offline interactions or arrangements between Clients and Companions, including disputes, conduct, payments, or outcomes for which Suhanz is not a party.

Suhanz reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification, and you agree to cooperate with our defense of such claims.

15. CONTENT AND INTELLECTUAL PROPERTY RIGHTS

• Except for (a) User Content and (b) third-party trademarks/logos appearing on the Platform, all copyrights, trademarks, service marks, logos, trade names, database rights, layouts, code, designs, and other intellectual/proprietary rights in Suhanz and the Platform content (“Platform Content”) are owned exclusively by Suhanz and protected under Indian law. No rights are granted to you express or implied except the limited right to access and use the Platform per these Terms. Suhanz may change or modify the Services and/or Platform Content at any time.
• You acknowledge the Platform Content and Services are original works created through substantial time, skill, and investment and constitute valuable IP of Suhanz and its licensors. You agree to protect these rights during and after your use. You may download/view materials only for personal, non-commercial use and must retain any copyright or proprietary notices.
• You shall not, directly or indirectly:
• (a) decompile, disassemble, reverse engineer, or attempt to derive source code;
• (b) modify, adapt, translate, or create derivative works;
• (c) use the Platform or Platform Content in violation of law;
• (d) remove/obscure proprietary notices;
• (e) use the Platform for unauthorised commercial exploitation or revenue generation;
• (f) distribute, transmit, frame, or mirror the Platform or Services;
• (g) engage in data mining/scraping/crawling/harvesting, automated bulk access, or redirect traffic;
• (h) build or assist in building a service/software that is directly or indirectly competitive with Suhanz; or
• (i) derive or attempt to derive any confidential information, processes, data, or algorithms from the Platform.
• Any infringement may result in civil/criminal action and pursuit of all remedies available under applicable law.

16. TERMINATION OF ACCESS TO SERVICES

• Suhanz may suspend or terminate your Account and/or access to any Services at any time, with or without cause or notice, including for violations of these Terms, suspected abuse/fraud, or prolonged inactivity.
• Termination may take effect immediately and without prior notice, subject to applicable law, and Suhanz may bar further access to the Platform/Services. Suhanz is not responsible for any discontinuation or termination of services by third parties (e.g., payment gateways, messaging tools).
• The following provisions survive termination: disclaimer of warranties, limitation of liability, indemnification, intellectual property, governing law & jurisdiction, and any other terms which by their nature should survive.

17. PRIVACY POLICY

• Personal data you provide while using Suhanz is handled strictly confidentially in line with our Privacy Policy and applicable laws (including the Digital Personal Data Protection Act, 2023 and IT rules, as applicable). By using the Platform, you consent to the collection, use, storage, sharing, and processing of your information as described in the Privacy Policy (including limited sharing with service providers such as hosting, security, analytics, and payment partners for platform features).
• If you object to your information being processed or transferred as described, please do not use the Platform. For details on what we collect, why, retention, your choices/rights, and contact methods, refer to the Privacy Policy linked in the site footer.

18. SEVERABILITY & WAIVER

• These Terms, our Privacy Policy, and any policies referenced on the Platform constitute the entire agreement between you and Suhanz regarding your use of the Platform and Services, and supersede all prior or contemporaneous communications and proposals (oral, written, or electronic) on that subject.
• If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remainder shall continue in full force and effect.
• Any failure or delay by either party to exercise a right or enforce a provision under these Terms shall not constitute a waiver of that or any other right or provision. A waiver will be effective only if made in writing and signed/issued by Suhanz.

19. ASSIGNMENT

• Suhanz may assign or transfer all or part of its rights and/or obligations under these Terms without notice and without such assignment being deemed a change to these Terms, except as required by law. You may not assign or transfer your rights or obligations hereunder without Suhanz’s prior written consent. Any unauthorized assignment is void. These Terms are binding upon and inure to the benefit of the parties and their permitted successors and assigns.

20. GOVERNING LAW & DISPUTE RESOLUTION

• These Terms are governed by and shall be construed in accordance with the laws of India. Subject to the arbitration clause below, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction.
• Arbitration. Any dispute, claim, or controversy arising out of or in connection with these Terms or the use of the Platform shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The tribunal shall consist of a sole arbitrator appointed jointly by the parties. The seat and venue of arbitration shall be Mumbai, Maharashtra. The language of the proceedings shall be English. The arbitral award shall be final and binding on the parties.
• Nothing herein prevents Suhanz from seeking interim or injunctive relief from courts of competent jurisdiction to protect its intellectual property, confidential information, or platform integrity. Each party shall bear its own costs, and the arbitrator may apportion costs and fees in the award.
